VENDOR TERMS AND CONDITIONS (VENDOR POLICY)

Effective Date: May 2026

This Vendor Policy (“Policy”) governs the relationship between Zebity (“the Platform”) and third-party sellers (“Vendors”) wishing to list and sell beauty, skincare, and wellness products via our website and mobile application.

By registering as a Vendor on Zebity, you agree to comply with the following terms:

1. Commission Structure

Zebity operates on a commission-based model to maintain the platform, marketing, and payment processing infrastructure.

  • Commission Rate: A flat fee of 12% will be deducted from the gross sale price of every product sold through the platform.
  • Calculation: The 12% commission is calculated on the product’s listed selling price (excluding shipping fees collected from the customer).
  • Net Payment: Vendors will receive the remaining 88% of the sale price, disbursed according to the agreed payout cycle (see Section 5).

2. Product Quality and Authenticity

Zebity is committed to a great consumer experience and safety. All Vendors must adhere to the following:

  • Authenticity: Only 100% genuine products are permitted. The sale of counterfeit, contra-band items, or diverted goods is strictly prohibited and will lead to immediate account termination.
  • Compliance: Products must comply with NAFDAC (National Agency for Food and Drug Administration and Control) regulations.
  • Expiry Dates: Vendors must not ship products with less than six (6) months of shelf life remaining, unless explicitly stated as a Short-Dated sale with prior approval from Zebity.
  • Dermatological Review: Zebity reserves the right to have its freelance dermatologist review product ingredients for suitability and standard. Sub-standard products will be delisted.

3. Listing and Content Requirements

Vendors are responsible for the accuracy of their listings:

  • Product Imagery: Vendors must provide high-quality, clear images on a white or neutral background.
  • Descriptions: Listings must include a full ingredient list, usage instructions, and accurate volume/weight.
  • Pricing: Vendors agree not to list products on Zebity at a price significantly higher than their own direct-to-consumer channels.

4. Fulfillment and Logistics

To ensure a seamless customer experience, Zebity utilizes a managed logistics framework:

  • Order Processing: Vendors must “Accept order” and “Ready for Dispatch” an order within 24 hours of notification.
  • Packaging: Vendors must package items securely to prevent leakage or breakage during transit. Zebity-branded packaging may be required for certain tiers of vendors.
  • Pick-up: Our designated logistics partner will collect the item from the Vendor’s registered address for delivery to the Zebity hub or the customer.

5. Payout Schedule

  • Settlement Period: Funds from sales are held in escrow to account for the 7–10 day customer refund window.
  • Payout Frequency: Payments are processed on a bi-weekly basis (every 14 days) into the Vendor’s registered Nigerian bank account.
  • Statements: Vendors will receive a digital statement detailing total sales, the 12% commission deducted, and any applicable fees.

6. Returns and Refunds

  • Defective Products: If a customer returns a product due to damage, wrong item sent, or being “expired on arrival,” the Vendor shall bear the full cost of the refund and the return shipping fee.
  • Change of Mind: For non-defective returns (where applicable under the Refund Policy), the 12% commission is non-refundable to the Vendor to cover administrative and payment gateway costs.

7. Prohibited Conduct

Vendors may not:

  • Include their own contact information (phone numbers, websites) inside the package to divert Zebity customers.
  • Engage in fake reviews to boost their store rating.
  • Harass customers through any data obtained via the platform.

8. Termination

Either party may terminate this partnership with 30 days’ written notice. However, Zebity reserves the right to suspend or terminate a Vendor account immediately for breaches related to counterfeit goods, fraud, or consistent poor ratings (below 3 stars).

Acceptance

By completing the Vendor Onboarding process and uploading your first product, you acknowledge that you have read, understood, and agreed to this Vendor Policy.
